 143 changes and/or additions to the Program originate from and are distributed by
 144 that particular Contributor. A Contribution 'originates' from a Contributor if
 145 it was added to the Program by such Contributor itself or anyone acting on such
 146 Contributor's behalf. Contributions do not include additions to the Program
 147 which: (i) are separate modules of software distributed in conjunction with the
 148 Program under their own license agreement, and (ii) are not derivative works of
 149 the Program. </P>
 150 <P class=MsoNormal style="MARGIN-LEFT: 0.5in; mso-outline-level: 1"><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 151 <P class=MsoNormal>"Contributor" means The Open Group, METRO LINK and any other
 152 entity that distributes the Program. </P>

 154 <P class=MsoNormal>"Licensed Patents" mean patent claims licensable by a
 155 Contributor which are necessarily infringed by the use or sale of its
 156 Contribution alone or when combined with the Program.</P>

 158 <P class=MsoNormal>"Open Source"<SPAN style="mso-spacerun: yes">&nbsp;
 159 </SPAN>programs mean software for the source code is available without
 160 confidential or trade secret restrictions and for which<SPAN
 161 style="mso-spacerun: yes">&nbsp; </SPAN>the source code and object code are
 162 available for distribution without license charges.</P>

 164 <P class=MsoNormal>"Metro Link Program" means the original version of the
 165 software accompanying this Agreement as released by METRO LINK, including source
 166 code, object code and documentation, if any. </P>

 168 <P class=MsoNormal>"Program" means the Metro Link Program and Contributions.

 193   of such Contributor, if any, and such derivative works, in source code and
 194   object code form. </LI></OL>

 199   to the terms of this Agreement, The Open Group Agreement and this Section 2,
 200   each Contributor hereby grants Recipient a non-exclusive, worldwide,
 201   royalty-free patent license under Licensed Patents to make, use, sell, offer
 202   to sell, import and otherwise transfer the Contribution of such Contributor,
 203   if any, in source code and object code form. This patent license shall apply
 204   to the combination of the Contribution and the Program if, at the time the
 205   Contribution is added by the Contributor, such addition of the Contribution
 206   causes such combination to be covered by the Licensed Patents. The patent
 207   license shall not apply to any other combinations which include the
 208   Contribution. No hardware per se is licensed hereunder. </LI></OL>

 214   understands that although each Contributor grants the licenses to its
 215   Contributions set forth herein, no assurances are provided by any Contributor
 216   that the Program does not infringe the patent or other intellectual property
 217   rights of any other entity. Each Contributor disclaims any liability to
 218   Recipient for claims brought by any other entity based on infringement of
 219   intellectual property rights or otherwise. As a condition to exercising the
 220   rights and licenses granted hereunder, each Recipient hereby assumes sole
 221   responsibility to secure any other intellectual property rights needed, if
 222   any. For example, if a third party patent license is required to allow
 223   Recipient to distribute the Program, it is Recipient's responsibility to
 224   acquire that license before distributing the Program. </LI></OL>

 260     excludes on behalf of all Contributors all liability for damages, including

 265     that any provisions which differ from this Agreement are offered by that
 266     Contributor alone and not by any other party; and

 269     that source code for the Program is available from such Contributor, and
 270     informs licensees how to obtain it in a reasonable manner on or through a

 291 <P class=Blockquote><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 292 <P class=MsoNormal>In addition, each Contributor must identify itself as the
 293 originator of its Contribution, if any, in a manner that reasonably allows
 294 subsequent Recipients to identify the originator of the Contribution. </P>
 295 <P class=H3>4. COMMERCIAL DISTRIBUTION </P>
 296 <P class=MsoNormal>Commercial distributors of software may accept certain
 297 responsibilities with respect to end users, business partners and the like.
 298 While this license is intended to facilitate the commercial use of the Program,
 299 the Contributor who includes the Program in a commercial product offering should
 300 do so in a manner which does not create potential liability for other
 301 Contributors. Therefore, if a Contributor includes the Program in a commercial
 302 product offering, such Contributor ("Commercial Contributor") hereby agrees to
 303 defend and indemnify every other Contributor ("Indemnified Contributor") against
 304 any losses, damages and costs (collectively "Losses") arising from claims,
 305 lawsuits and other legal actions brought by a third party against the
 306 Indemnified Contributor to the extent caused by the acts or omissions of such
 307 Commercial Contributor in connection with its distribution of the Program in a
 308 commercial product offering. The obligations in this section do not apply to any
 309 claims or Losses relating to any actual or alleged intellectual property
 310 infringement. In order to qualify, an Indemnified Contributor must: </P>
 311 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 312 <P class=MsoNormal
 313 style="MARGIN-LEFT: 0.25in; TEXT-INDENT: -0.25in; tab-stops: list .25in; mso-list: l5 level1 lfo7"><![if !supportLists]>a)<SPAN
 314 style="FONT: 7pt 'Times New Roman'">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </SPAN><![endif]>promptly notify the Commercial Contributor in writing of such
 315 claim, and </P>
 316 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 317 <P class=MsoNormal
 318 style="MARGIN-LEFT: 0.25in; TEXT-INDENT: -0.25in; tab-stops: list .25in; mso-list: l5 level1 lfo7"><![if !supportLists]>b)<SPAN
 319 style="FONT: 7pt 'Times New Roman'">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </SPAN><![endif]>allow the Commercial Contributor to control, and cooperate with
 320 the Commercial Contributor in, the defense and any related settlement
 321 negotiations. </P>
 322 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 323 <P class=MsoNormal>The Indemnified Contributor may participate in any such claim
 324 at its own expense. </P>
 325 <P class=MsoNormal>For example, a Contributor might include the Program in a
 326 commercial product offering, Product X. That Contributor is then a Commercial
 327 Contributor. If that Commercial Contributor then makes performance claims, or
 328 offers warranties related to Product X, those performance claims and warranties
 329 are such Commercial Contributor's responsibility alone. Under this section, the
 330 Commercial Contributor would have to defend claims against the other
 331 Contributors related to those performance claims and warranties, and if a court
 332 requires any other Contributor to pay any damages as a result, the Commercial
 333 Contributor must pay those damages. </P>
 334 <P class=H3>5. NO WARRANTY </P>
 335 <P class=MsoNormal>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM
 336 IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND,
 337 EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR
 338 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A
 339 PARTICULAR PURPOSE. Each Recipient is solely responsible for determining the
 340 appropriateness of using and distributing the Program and assumes all risks
 341 associated with its exercise of rights under this Agreement, including but not
 342 limited to the risks and costs of program errors, compliance with applicable
 343 laws, damage to or loss of data, programs or equipment, and unavailability or
 344 interruption of operations. </P>
 345 <P class=H3>6. DISCLAIMER OF LIABILITY </P>
 346 <P class=MsoNormal>EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER
 347 RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT,
 348 INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
 349 WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
 350 WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
 351 OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR
 352 THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY
 353 OF SUCH DAMAGES. </P>
 354 <P class=H3>7. GENERAL </P>
 355 <P class=MsoNormal>If any provision of this Agreement is invalid or
 356 unenforceable under applicable law, it shall not affect the validity or
 357 enforceability of the remainder of the terms of this Agreement, and without
 358 further action by the parties hereto, such provision shall be reformed to the
 359 minimum extent necessary to make such provision valid and enforceable. </P>
 360 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 361 <P class=MsoNormal>If Recipient institutes patent litigation against a
 362 Contributor with respect to a patent applicable to software (including a
 363 cross-claim or counterclaim in a lawsuit), then any patent licenses granted by
 364 that Contributor to such Recipient under this Agreement shall terminate as of
 365 the date such litigation is filed. In addition, if Recipient institutes patent
 366 litigation against any entity (including a cross-claim or counterclaim in a
 367 lawsuit) alleging that the Program itself (excluding combinations of the Program
 368 with other software or hardware) infringes such Recipient's patent(s), then such
 369 Recipient's rights granted under Section 2(b) shall terminate as of the date
 370 such litigation is filed. </P>
 371 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 372 <P class=MsoNormal>All Recipient's rights under this Agreement shall terminate
 373 if it fails to comply with any of the material terms or conditions of this
 374 Agreement and does not cure such failure in a reasonable period of time after
 375 becoming aware of such noncompliance. If all Recipient's rights under this
 376 Agreement terminate, Recipient agrees to cease use and distribution of the
 377 Program as soon as reasonably practicable. However, Recipient's obligations
 378 under this Agreement and any licenses granted by Recipient relating to the
 379 Program shall continue and survive. </P>
 380 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 381 <P class=MsoNormal>METRO LINK may publish new versions (including revisions) of
 382 this Agreement from time to time. Each new version of the Agreement will be
 383 given a distinguishing version number. The Program (including Contributions) may
 384 always be distributed subject to the version of the Agreement under which it was
 385 received. In addition, after a new version of the Agreement is published,
 386 Contributor may elect to distribute the Program (including its Contributions)
 387 under the new version. No one other than METRO LINK has the right to modify this
 388 Agreement. Except as expressly stated in Sections 2(a) and 2(b) above, Recipient
 389 receives no rights or licenses to the intellectual property of any Contributor
 390 under this Agreement, whether expressly, by implication, estoppel or otherwise.
 391 All rights in the Program not expressly granted under this Agreement are
 392 reserved. </P>
 393 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 394 <P class=MsoNormal>This Agreement is governed by the laws of the State of
 395 Florida and the intellectual property laws of the United States of America. </P>
 396 <P class=MsoNormal><![if !supportEmptyParas]><![endif]>&nbsp;<o:p></o:p></P>
 397 <P class=MsoNormal>No party to this Agreement will bring a legal action under
 398 this Agreement more than one year after the cause of action arose. Each party
 399 waives its rights to a jury trial in any resulting litigation.</P>
